LEGAL AUTHORITY FOR CREATION AND OPERATION(City)
A Texas Non-Profit Corporation created to implement recommendations of the Buffalo Bayou Task Force, which was created by Mayor Kathy Whitmire on August 24, 1984.
GENERAL POWER AND DUTIES
To develop and monitor a realistic, achievable and fundable strategies for the redevelopment of Buffalo Bayou, downstream from Shepherd Drive to its outfall into the Houston Ship Channel at the Turning Basin. The Partnership works with all appropriate governmental agencies, including the City of Houston Parks and Recreation, Public Works, and Planning and Development departments as well as, Harris County, the Harris County Flood Control District, the Port of Houston Authority, and the United States Army Corps of Engineers.
MEETING TIME AND LOCATION
The Partnership will meet bi-monthly on Fridays at noon of these following months: January, March, May, July, September, November; at 1113 Vine Street, Suite 200.
COMPOSITION
TOTAL: Determined by a resolution made by the Board, however, there shall never be less than 4 members.
APPOINTMENT PROCESS: The Chairperson, with the approval of the Executive Committee, shall appoint a Nominating Committee consisting of four Board members. The Nominating Committee shall consider the Partnership’s work program and select Officers and Directors who represent environmental, governmental, community and business interests. Upon the approval of the slate of nominees by the Nominating Committee, the Nominating Committee shall present its slate of Officers and Directors to the Board for its approval as provided for in these Bylaws. The slate of Officers and Directors shall be delivered to the Mayor of Houston and Harris County Judge as soon as practical. If for any reason, a nominee is not acceptable to the Mayor and County Judge, he or she may reject such nominee and request that the Partnership’s Nominating Committee provide a substitute nominee.
QUORUM: Unless otherwise provided therein, 25% of the number of directors of the entire board shall constitute a quorum of the board, but in no case shall that number be less than 4.
TERM: The Directors shall be divided in staggered 3 year terms, with a maximum of 2 successive terms. The Directors shall be divided into 3 classes as nearly equal in number as possible for the purpose of staggering their 3 terms of office. The term of each class shall expire 1 year after the expiration of the term of the preceding class. Each director elected to succeed a Director who is a member of a class shall become a member of the same class for a maximum of 2 successive 3 year terms of office. Thereafter, these Directors shall be eligible to be reelected after 1 year of retirement from the Board of Directors.
CHAIRPERSON: The chairperson is elected by the Partnership’s board of directors.
COMPENSATION: Directors shall serve without compensation, however, under certain circumstances officers of the Board may be entitled to compensation.
FINANCIAL ACCOUNTABILITY
Entity is NOT included in the financial reporting for the City of Houston. Required to take an Ethics Course.
