LEGAL AUTHORITY FOR CREATION AND OPERATION(City)
City of Houston, Resolution No. 2000-0002: Amended by City of Houston Ordinance No. 2004-0296: Chapter 394, Texas Local Government Code; Section 431.102, et seq., Texas Transportation Code.
GENERAL POWER AND DUTIES
The Corporation has been organized to operate specifically, to aid and act on behalf of the City of Houston, Texas in establishing, constructing, improving, enlarging, equipping, repairing, operating or maintaining (any or all) a hotel in Downtown Houston.
MEETING TIME AND LOCATION
First Monday of every quarter; Hilton Americas, 1001 Avenida de Las Americas, Houston.
COMPOSITION
The business affairs of the Corporation shall be managed by its board of directors (individually, “Directors(s)”, and collectively, the Board of Directors”). There shall be no less than three nor more than nine Directors (such a number to be designated from time to time by the Mayor of the City) who shall be appointed by the Mayor of the City, such appointments to be subject to the approval of the City Council of the City. Any vacancy on the Board of Directors will be filled by an appointment by the Mayor, such appointment to be subject to the approval of the City Council of the City.
The Corporation may also have ex officio Directors in such number at the Mayor of the City may appoint from time to time, such appointment to be subject to the approval of the City Council of the City. The Mayor of the City shall have the right to remove any such ex officio Director at anytime, with or without cause, and, subject to the approval of the City Council of the City, to appoint replacements for such removed persons.
QUALIFICATIONS and REQUIREMENTS:
1. A Director may be an employee or officer of the City.
2. Members must be at least 18 years old.
3. The majority of the members must be residents of the City of Houston.
QUORUM: At any meeting of the Board of Directors, a majority of the Board of Directors shall constitute a quorum for the transaction of business.
TERM: Each Director and ex officio Director shall serve for a period of one year. As provided for in the Articles of Incorporation of the Corporation, any Director may be removed from office at anytime, with or without cause, by the Mayor of the City. The Mayor of the City shall have the right to appoint a replacement for such Director with the approval of the City Council of the City.
CHAIRPERSON: The Mayor shall also have the right to appoint a member of the Board of Directors to be the chairperson of the Board of Directors and to remove and replace such chairperson from time to time.
FINANCIAL ACCOUNTABILITY
Entity is included in the financial reporting for the City of Houston. Required to take an Ethics Course.
