LEGAL AUTHORITY FOR CREATION AND OPERATION(State)
Health Facilities Development Act, Ch. 221, V.T.C.A. Health & Safety Code; City of Houston Resolution Number 83-99.
GENERAL POWER AND DUTIES
The Corporation is organized and may issue bonds on behalf of the City of Houston for the specific public purpose of acquiring, constructing, providing, improving, financing, and refinancing health facilities to assist the maintenance of the public health.
MEETING TIME AND LOCATION
Meet as needed; the time and place as to be determined by the Board of Directors of the Corporation.
COMPOSITION
The Board of Directors shall consist of nine directors, each of whom shall be appointed by the City Council from persons recommended by the Mayor. Any director may be removed from office, by the City Council, for cause or at will.
QUORUM: A majority of the directors fixed by the Articles of Incorporation shall constitute a quorum for the consideration of matters pertaining to the purposes of the Corporation.
TERM: Directors shall hold office for a term of three years or until their successors is appointed.
CHAIRPERSON: The chairperson (President) of the Corporation shall be approved by a vote of the Board of Directors.
FINANCIAL ACCOUNTABILITY
Entity is NOT included in the financial reporting for the City of Houston. Required to take an Ethics Course.
